The rules and guidelines for using Green Transfer's services
1. Introduction and Agreement to Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "User"), and Faran and Co International Translations Limited, a company registered in Georgia with Business Registration Number (BRN) 71560534 and its registered office at 1 VAKHTANG GORGASALI 1 STR, F.24 TBILISI 1105, GEORGIA (the "Company," "we," "us," or "our").
The Company operates the "Green Transfer" platform, website (https://greentransfer.org/), and associated services (collectively, the "Service"). Our Service is registered and operates as a Virtual Asset Service Provider (VASP) under the supervision of the National Bank of Georgia (NBG).
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. This agreement explicitly incorporates by reference our Privacy Policy, which details how we collect and use your data.
IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND OUR PRIVACY POLICY, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
1.1 Definitions
- "Virtual Asset" refers to a digital representation of value that can be digitally traded or transferred and can be used for payment or investment purposes, such as stablecoins (e.g., USDC, USDT).
- "Wallet" refers to your personal, self-hosted virtual asset wallet which you alone control and for which you hold the private keys.
- "Third-Party Provider" refers to an independent, third-party on-ramp service (e.g., onramp.money, PayBis) that we integrate with to facilitate your purchase of Virtual Assets.
2. Description of Services and Scope
Green Transfer provides a non-custodial on-ramp platform and educational hub. Our services are strictly limited to:
- Facilitating Virtual Asset Purchases: We provide a software interface that connects you with Third-Party Providers to allow you to purchase stablecoins using fiat currency.
- Educational Content: We provide educational materials, courses, and paid technical consultations on topics related to Virtual Assets and blockchain technology.
2.1 Important Service Disclaimers
- Non-Custodial Service: Green Transfer is strictly a non-custodial platform. We never take possession, custody, or control of your fiat funds or Virtual Assets. All transactions occur directly between you, the Third-Party Provider, and your personal Wallet. You are solely and entirely responsible for the security of your Wallet, private keys, and mnemonic phrases.
- No Investment Advice: All content provided through our Service, including educational materials, is for informational purposes only. It does not constitute financial, investment, legal, tax, or any other form of professional advice. You should consult with your own qualified professionals before making any financial decisions.
- No Brokerage or Exchange Services: We are not a broker, financial institution, or creditor. The Service is an administrative platform only. We do not facilitate trading between different Virtual Assets.
3. Eligibility and User Obligations
3.1 Eligibility Criteria
To be eligible to use our Service, you must:
- Be at least 18 years of age or the age of legal majority in your jurisdiction.
- Have the full legal capacity to enter into and be bound by these Terms.
- Not be a resident of, or located in, any jurisdiction on our restricted countries list or any jurisdiction subject to comprehensive international sanctions.
- Not be listed on any sanctions lists maintained by the United Nations, European Union, Georgia, the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), or other relevant authorities.
3.2 User Representations and Warranties
By using the Service, you represent and warrant that:
- All information you provide to us is true, accurate, and complete.
- The funds used for your transactions are lawfully owned by you and are not derived from any illegal or fraudulent activity.
- Your use of the Service will not violate any applicable laws or regulations in your jurisdiction or in Georgia.
- You are the sole and legitimate owner of the Wallet to which you direct any purchased Virtual Assets.
3.3 Account Security
You are responsible for all activities that occur under your account. You agree to maintain the security and confidentiality of your account credentials (password) and any two-factor authentication methods. You must notify us immediately at legal@greentransfer.org of any suspected or actual unauthorized use of your account. We are not liable for any loss you may incur as a result of someone else using your password or account, either with or without your knowledge.
4. Regulatory Compliance and Identity Verification
As a regulated VASP in Georgia, we are obligated to comply with all applicable laws concerning Anti-Money Laundering (AML) and Countering the Financing of Terrorism (CFT). Our compliance program is a critical component of our Service.
- Identity Verification (KYC/CDD): Before using our Service, you must undergo our mandatory identity verification and customer due diligence (CDD) procedures. This requires you to provide certain personal information and documentation, which may include a government-issued photo ID, proof of address, and potentially information on your source of funds or wealth.
- Transaction Monitoring: You consent to our real-time monitoring of your transaction activity to detect and prevent illicit behavior. We utilize automated systems to identify unusual or suspicious patterns.
- Reporting Obligations: We are required by law to report suspicious transactions to the Financial Monitoring Service (FMS) of Georgia. We reserve the right to file such reports without prior notice to you.
- Enhanced Due Diligence (EDD): For higher-risk users or transactions, we may be required to perform EDD, which may involve requests for additional information or documentation.
- Right to Refuse Service: We reserve the absolute right to refuse, freeze, block, or terminate your account or any transaction if our compliance checks indicate a breach of these Terms or involvement in prohibited activities.
5. Third-Party Services
Our Service integrates with Third-Party Providers to process your transactions. You acknowledge and agree that:
- Your use of such Third-Party Provider services is governed by their separate terms and conditions and privacy policies, which you are solely responsible for reviewing and accepting.
- Green Transfer is not a party to your transaction with the Third-Party Provider and acts only as a technical facilitator. We do not endorse, guarantee, or assume any responsibility for their services, including processing times, fees, or transaction outcomes.
- Any disputes, claims, or issues arising from a transaction must be resolved directly with the relevant Third-Party Provider.
6. Prohibited Activities
You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include, but are not limited to:
- Any activity that violates any law, statute, ordinance, or regulation.
- Funding or engaging with sanctioned individuals, entities, or jurisdictions.
- Using the Service for fraudulent purposes, including impersonating another user.
- Interfering with, disrupting, or creating an undue burden on the Service or its networks.
- Attempting to bypass any security measures of the Service.
- Engaging in any automated use of the system, such as using scripts or bots, without our express permission.
- Using the Service to fund any illegal products or services, including those on darknet markets.
7. Risk Disclosures
You acknowledge and accept the inherent risks associated with Virtual Assets. By using the Service, you confirm that you understand and accept the following risks:
- Market Volatility: The value of Virtual Assets is highly volatile. You may suffer a total loss of your funds.
- Irreversibility of Transactions: Blockchain transactions are irreversible. You are responsible for the accuracy of all transaction details, especially the recipient Wallet address.
- Technological Risks: The underlying technology (blockchain, smart contracts) is novel and may be subject to bugs, forks, or network congestion that can affect your transactions.
- Regulatory Uncertainty: The legal status of Virtual Assets is uncertain in many jurisdictions and may change rapidly, potentially impacting their legality or value.
- Self-Custody Responsibility: As a non-custodial service, the security of your Virtual Assets depends entirely on you. The loss of your private keys will result in the permanent and irretrievable loss of your assets.
- No Insurance: Virtual Assets held in your Wallet are not protected by any government deposit insurance schemes.
8. Intellectual Property Rights
Unless otherwise indicated, the Service is our proprietary property. All source code, databases, functionality, software, website designs, text, graphics, and logos (collectively, the "Content") and the trademarks and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, strictly in accordance with these Terms.
9. Fees and Payment
Any fees associated with the purchase of Virtual Assets are determined and charged by the Third-Party Providers. These fees will be disclosed to you by the provider before you finalize any transaction. Due to the nature of blockchain transactions, all confirmed purchases are final and non-refundable.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FARAN AND CO INTERNATIONAL TRANSLATIONS LIMITED, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
WE DISCLAIM ALL LIABILITY FOR ANY LOSS OR DAMAGE ARISING FROM: (A) USER ERROR SUCH AS FORGOTTEN PASSWORDS OR INCORRECTLY CONSTRUED TRANSACTIONS; (B) SERVER FAILURE OR DATA LOSS; (C) UNAUTHORIZED ACCESS TO YOUR ACCOUNT; (D) THE ACTIONS OR OMISSIONS OF ANY THIRD-PARTY PROVIDER; OR (E) BUGS OR VULNERABILITIES IN ANY BLOCKCHAIN NETWORK.
11. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.
12. Governing Law and Dispute Resolution
These Terms and your use of the Service are governed by and construed in accordance with the laws of Georgia. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts located in Tbilisi, Georgia.
13. Term and Termination
These Terms remain in full force and effect while you use the Service. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Service to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Terms. Upon termination of your account, all provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. General Provisions
- Changes to Terms: We reserve the right to modify these Terms at any time. We will alert you to any changes by updating the "Last Updated" date. It is your responsibility to periodically review these Terms.
- Entire Agreement: These Terms and any policies posted by us on the Service constitute the entire agreement and understanding between you and us.
- No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
- Force Majeure: We shall not be liable for any failure or delay in performance of our obligations resulting from any event beyond our reasonable control, including acts of God, war, or significant network failures.
- Electronic Communications: By using the Service, you consent to receive electronic communications from us and agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
